EXPEDITION MONEY LLC Affiliate Program Terms & Conditions and Partner Agreement
(Affiliate and Sales Partner Program)
This Partner Agreement (“Agreement”) governs participation in the Expedition Money Partner Program operated by Expedition Money LLC, an Illinois limited liability company (“Company”).
The Partner Program allows individuals or organizations (“Partner”) to participate as:
• Affiliate Partners (referral marketing)
• Sales Partners (direct business development)
• or both roles simultaneously
The program is available only within the United States, and Partners may promote and sell services anywhere within the United States.
1. Independent Contractor Relationship
Partner is engaged as an independent contractor and not as an employee, agent, partner, joint venturer, or representative of the Company.
Partner:
• Is responsible for all federal, state, and local taxes
• Is responsible for self-employment taxes
• Is not eligible for Company benefits
• Is responsible for all business expenses
• Will receive IRS Form 1099-NEC when required by law
Nothing in this Agreement creates an employment relationship.
Partner has no authority to bind the Company contractually.
2. Program Roles
Partners may participate in one or both roles.
2.1 Affiliate Partner
Affiliate Partners generate referrals through marketing activities including:
• referral links
• websites
• social media
• email marketing
• advertising campaigns
• content marketing
Affiliate referrals may be tracked through:
• referral links
• cookies
• referral codes
• attribution tracking systems
Affiliate Partners generally do not manage customer relationships after the sale.
2.2 Sales Partner
Sales Partners engage in direct sales and business development, including:
• prospecting employers
• presenting Expedition Money services
• negotiating subscription agreements
• submitting customer enrollments
• maintaining customer relationships
Sales Partners may earn residual commissions tied to subscription revenue.
2.3 Hybrid Participation
A Partner may participate as both an Affiliate Partner and Sales Partner simultaneously.
If attribution conflicts arise between referral tracking and direct sales claims, the Company will determine attribution in good faith based on available documentation.
Company determination shall be final.
3. Scope of Services
Partner agrees to promote Expedition Money’s Financial Wellness subscription services (“Services”) to employers located within the United States.
Typical target organizations include employers with 30 or more employees, although smaller organizations may be accepted at Company discretion.
Partner may market and sell services anywhere within the United States.
No exclusive territories are granted.
Partner agrees to:
• Represent services accurately
• Use approved marketing materials
• Use approved pricing
• Submit subscriptions through Company systems
Partner shall not:
• Alter pricing without written authorization
• Offer unauthorized discounts
• Promise services beyond program scope
• Make financial guarantees
• Bind the Company to contractual commitments
4. Affiliate Marketing Rules
Affiliate Partners must comply with all applicable United States laws, including Federal Trade Commission advertising and endorsement guidelines.
Affiliate Partners shall not:
• send unsolicited spam communications
• generate fraudulent referrals
• refer accounts they control
• misrepresent Company services
• engage in deceptive marketing
• bid on Company trademarks in paid advertising without permission
If referral attribution cannot be verified through Company systems, no commission will be paid.
5. Compensation
5.1 Sales Partner Commission
Sales Partners shall receive:
Fifty Percent (50%) of Net Subscription Revenue actually received by Company for each qualifying Active Account originated by the Sales Partner.
Commission is earned only on funds actually received by Company.
5.2 Affiliate Commission
Affiliate commissions may be paid for qualifying referrals generated through approved tracking systems.
Commission structures may include:
• referral commissions
• subscription commissions
• renewal commissions
Commission structures may be updated by Company with reasonable notice.
5.3 Net Subscription Revenue Definition
“Net Subscription Revenue” means subscription payments received by Company less:
• discounts
• promotional pricing
• refunds
• chargebacks
• payment reversals
• sales taxes
• processing reversals
• unpaid balances
Commission is calculated only on cleared funds received.
5.4 Payment Timing
Commission payments will be issued:
• after customer payments clear
• according to the customer’s billing schedule
• typically within 15 days of receipt of funds
Annual payments will be paid after annual funds are received.
6. Active Account Definition
An Active Account is a subscription that:
• remains current and paid
• has no billing interruption
• has not been canceled
• has not been paused
Any interruption including:
• cancellation
• non-payment
• billing lapse
• expiration without renewal
terminates Active Account status.
7. Account Management Requirement (Sales Partners)
Residual commission payments require reasonable ongoing account management, including:
• responding to customer communications
• assisting with renewals
• maintaining professional client relationships
If Company must assume account management due to Partner disengagement, Company may:
• reassign the account
• redirect commissions
• terminate residual commissions.
8. Lead Registration
Sales Partners may register prospective employer leads through Company systems.
Lead registration may include:
• company name
• contact details
• employee size
• expected timeline.
9. Lead Registration Priority & Expiration
Approved lead registrations typically remain valid for 90 days.
During the registration period:
• the registering Sales Partner will normally receive priority to pursue the opportunity
• the Company may still pursue the opportunity directly if necessary
After the registration period expires, the Company may reassign the opportunity or pursue it through other channels.
Company retains final authority regarding lead ownership and attribution.
10. Commission Clawback
If a customer payment is:
• refunded
• charged back
• reversed
• canceled due to fraud
• canceled within a refund period
any associated commission shall be reversed or deducted from future payments.
11. Commission Dispute Resolution
If a dispute arises regarding commission attribution:
The disputing Partner must submit written documentation supporting their claim.
The Company will review available information including CRM records, referral tracking data, and communication history.
The Company will make a final determination in good faith.
The Company’s decision regarding commission attribution shall be final and binding.
12. Client Ownership
All customers introduced through the Expedition Money program remain the sole customer relationship of Expedition Money LLC.
Partners acknowledge they are introducing customers to the Company and do not obtain ownership of the customer relationship.
13. Non-Circumvention
During the term of this Agreement and for two (2) years following termination, Partner agrees not to:
• solicit Expedition Money customers for competing services
• attempt to transfer customers to competing platforms
• provide competing financial wellness services to those customers.
14. Partner Activity Requirement
The Company reserves the right to deactivate inactive Partner accounts.
Examples of inactivity may include:
• no meaningful sales activity
• failure to respond to customer inquiries
• extended lack of engagement with assigned accounts.
Inactive accounts may result in:
• reassignment of accounts
• termination of residual commissions
• removal from the Partner Program.
15. Company Resources and Access
Company may provide Partners with resources including:
• Company email accounts
• business cards
• Google Drive access
• digital storage
• CRM systems
• marketing materials
• brochures
• books
• games
• promotional materials
• sales supplies
• iPads or tablets
• computers
• mobile phones.
All such resources remain the sole property of Expedition Money LLC.
The Company may:
• disable system access
• revoke login credentials
• delete email accounts
• remove Drive access
• recall equipment
• discontinue resources
at any time and without notice.
16. Company Identity Protection
Partners may not continue using Company email addresses, branding, or identity after termination.
17. Data Ownership
All customer data, sales information, and program records remain the exclusive property of Expedition Money LLC.
18. Confidentiality
Partners must keep confidential:
• customer information
• pricing structures
• marketing systems
• training materials
• business strategies.
19. Intellectual Property
All branding, materials, systems, and content remain the property of Expedition Money LLC.
20. Indemnification
Partner agrees to indemnify and hold harmless Expedition Money LLC from claims arising from Partner conduct or representations.
21. Limitation of Liability
Company shall not be liable for indirect or consequential damages.
Maximum liability shall not exceed commissions earned but unpaid.
22. Non-Exclusivity
This Agreement is non-exclusive.
23. Term and Termination
This Agreement remains in effect until terminated.
Either party may terminate:
• with 30 days written notice
• immediately for material breach.
24. Governing Law
This Agreement shall be governed by the laws of the State of Illinois.
25. Entire Agreement
This Agreement constitutes the entire agreement between the parties.
Any modifications must be in writing and signed by both parties.
